Anthropic Seeks Palantir-Style Founder Control Ahead of IPO

Anthropic wants shareholders to approve a structure giving CEO Dario Amodei and six co-founders 50.1% of voting power, according to The Information

Anthropic is seeking shareholder approval for a new corporate structure that would give CEO Dario Amodei and his six fellow co-founders a combined 50.1% of voting power, The Information reported on Thursday, citing people familiar with the matter.

Modeled on the founder-control setup used by Palantir, the plan would create a special class of shares for the co-founders, handing them joint voting control over most corporate decisions. The arrangement would remain in effect only as long as at least three of the seven co-founders hold on to a minimum number of shares, according to the report.

A notable exception to the founders’ control would be the election of board members. Anthropic’s board has seven seats, one of which is currently empty, the report said.

The company also plans to issue employees a special class of stock that would act as a tie-breaking vote on certain corporate matters, according to the report.

Anthropic did not immediately reply to a Reuters request for comment.

The company, widely regarded for months as the frontrunner in enterprise AI, is getting ready for what could become one of the largest IPOs in history.
