The Aktor Group has signed a binding share purchase agreement with Motor Oil Group to acquire a 75% stake in Manetial Ltd., the holding company that wholly owns Helector S.A. and Thalis S.A., reports stated on Wednesday.

If cleared by regulatory authorities, the deal will mark one of the largest recent transactions in Greece’s environmental infrastructure sector.

The agreement gives Aktor an indirect 75% ownership in both companies, accelerating the group’s strategy to expand its presence in the so-called circular economy, waste management and water resources sectors. The transaction also establishes a wider strategic partnership between Aktor and Motor Oil in environmental infrastructure, an area both groups have identified as a key growth market.

The companies agreed on an enterprise value of 300 million euro for 100% of Helector and Thalis. The final purchase price will be determined at closing after adjustments for net debt, cash balances and other customary completion items.

According to the companies, the two businesses generated combined EBITDA of 40.8 million euros in 2025, while EBITDA for 2026 is projected to exceed 41 million euro.

The transaction remains subject to closing conditions, including approval by the Hellenic Competition Commission, and is expected to be completed no later than the first quarter of 2027.

“The acquisition of a majority stake in Helector and Thalis marks the beginning of our strategic partnership with Motor Oil in the fields of circular economy and water resources management,” Aktor Chairman and CEO Alexandros Exarchou said in a statement.

He added that the agreement would strengthen the group’s environmental engineering expertise, expand its market opportunities and support its objective of increasing recurring revenue streams.

Helector is one of Greece’s leading waste management operators, specializing in the operation of municipal waste treatment facilities, public-private partnership (PPP) concessions and integrated waste management projects in Greece and abroad.

Thalis focuses on the design and construction of environmental infrastructure, including water and wastewater projects and waste management facilities.
