Alter Ego Media is undertaking a strategic move to redefine the Group’s business model by separating MEGA’s television operations from the development, production, and commercial exploitation of audiovisual content. On November 5, the Board of Directors of the listed company approved the plans to spin off the two business divisions and transfer them to two wholly owned subsidiaries, MEGA Broadcasting and Alter Ego Studios.
The reorganization forms part of Alter Ego Media’s broader strategic transformation from a traditional media group into an integrated Media & Entertainment ecosystem, with diversified revenue streams, greater utilization of its assets, and opportunities to expand beyond the domestic market.
Alter Ego Studios: An Independent Pillar for Content Development and Commercial Exploitation
Alter Ego Studios will bring together the development and production of original content, as well as the commercial utilization of MEGA’s content library. Under the new structure, the Group will treat audiovisual content not merely as a programming cost supporting its television operations, but as an independent asset capable of generating recurring revenue and long-term economic value.
The focus will be on the systematic utilization of intellectual property rights, both for new productions and for titles in the content library. Alter Ego Studios will be able to develop and distribute content not only for MEGA and the Group’s digital channels and media, but also for international streaming platforms and other audiovisual content distributors. This will broaden the commercial reach of each production and create opportunities for new revenue from both the Greek and international markets.
MEGA Broadcasting: Focusing on the Efficiency of Television Operations
MEGA Broadcasting will take over the operation of the MEGA television channel and its related linear and on-demand services. This specialization will allow the subsidiary to focus on strengthening the channel’s competitive position, improving control over operating costs, and commercially leveraging its television reach.
At the same time, the separate organization of television operations and content production will allow for more effective capital allocation and the assessment of investment performance based on the specific characteristics of each business activity.
Greater Transparency and Recognition of the Economic Value of Each Business Activity
From a financial perspective, the new corporate structure is particularly significant, as it allows for a clearer separation of two business activities with different financial characteristics, investment needs, and growth prospects. Television operations rely primarily on the advertising market, while content production can generate revenue from different markets and distribution channels through successive stages of commercial exploitation.
The new structure is expected to provide a clearer picture of the financial performance and assets of each division. This will make it easier to assess each division’s contribution to the Group’s results and allocate capital according to its investment priorities. This approach is also seen internationally across the Media & Entertainment industry, where content production and rights management are often organized separately from the operation of television networks and distribution platforms.
Strategic Transformation Without Changes to the Consolidated Financial Position
Alter Ego Media estimates that the reorganization will have a neutral impact on its consolidated financial and asset structure, since both companies are already wholly owned subsidiaries and are fully consolidated.
Completion of the spin-offs is subject to obtaining the required corporate and regulatory approvals and following the prescribed procedures. The continuity of employment relationships and the preservation of the rights of employees transferred to the respective subsidiaries will also be ensured.
Under the new structure, television distribution and content production will operate as two complementary but financially distinct pillars, sharing the common goal of achieving sustainable growth, international expansion, and long-term value creation for shareholders.
